These terms govern use of 1 NGO, a managed workspace operated by Uppfy Digital (“Uppfy”), including https://1-ngo.uppfy.com, organisation public pages we host, the 1 NGO WordPress plugin, WhatsApp Updates, and the organisation API.
By creating an account, inviting a teammate, publishing a page, connecting an integration, or installing the plugin, you agree to these terms. If you use 1 NGO on behalf of a nonprofit or other organisation, you confirm you have authority to bind that organisation.
Read the Privacy policy together with these terms.
1. The service
1 NGO lets organisations:
- Run a donate page and fundraising campaigns
- Publish events and stories
- Optionally compose a main website and connect custom domains
- Optionally serve public pages through WordPress without 1 NGO DNS
- Accept donor payments through the organisation’s Paystack account
- Invite a team, receive notifications, and optionally pair WhatsApp or issue API tokens
Uppfy hosts and operates the platform. Organisations are not purchasing a self-hosted copy of the software.
We may add, change, or withdraw features. We will not use a change to secretly take donor funds. Material changes to these terms are covered in section 16.
2. Accounts and organisations
You must provide accurate account information and keep credentials secret. Organisation owners should turn on two-step verification. Owner actions (Paystack, WhatsApp, API tokens, webhooks, and similar) require that second step.
You are responsible for everyone you invite and for activity under your organisation.
We may refuse, suspend, or close accounts that are inaccurate, abusive, unlawful, or that threaten the security of the service or other customers.
3. Eligibility
You must be able to form a contract under applicable law. 1 NGO is built for nonprofits and similar organisations. You must not use it for unlawful fundraising, fraud, or to impersonate another organisation.
4. Two kinds of payments
Donor payments. Money given on donate pages and campaigns is received in the organisation’s Paystack account, subject to Paystack’s terms, fees, payouts, chargebacks, and refunds. Uppfy is not the donor’s merchant of record. 1 NGO does not store full card data.
Platform billing. The organisation’s 1 NGO subscription is billed separately. Those credentials are never mixed with donation Paystack keys.
Confirmed gifts appear in 1 NGO after Paystack confirms the payment. A donor clicking Pay is not yet a confirmed gift.
Refunds, receipts, tax treatment, and “restricted gift” rules are the organisation’s responsibility, except where Paystack or the law requires us to assist.

5. Public content and publishing
You retain rights in the content you upload (text, images, brand assets), and you grant Uppfy a licence to host, display, cache, and transmit that content as needed to operate 1 NGO, including on custom domains and through the WordPress plugin.
You must have the right to publish that content. You must not upload unlawful, infringing, or harmful material.
Publishing is per host: Domain, Main Website URL, and WordPress are independent. A draft is not public. You are responsible for what you set live.

6. WordPress plugin
The plugin is an interface to 1 NGO. Campaigns and pages are still created in 1 NGO. Installing, activating, and saving a token is consent for the plugin to contact 1 NGO and to load 1 NGO public pages (including checkout) on your WordPress site.
The token is read-only except for reporting your site URL and slug map. You must not put a token with write scopes into WordPress. You must use HTTPS for the API URL in production.
Uppfy does not operate your WordPress hosting, theme, or other plugins. You are responsible for keeping WordPress updated and for visitors’ experience on that site.

7. WhatsApp Updates
WhatsApp Updates is an optional 1:1 admin chat with our bot. It is not a donor-facing channel and not a group membership. You must only pair a number you are allowed to use. You are responsible for how you forward messages.
Meta/WhatsApp terms apply to that chat. We may revoke a link that is abused or that Meta requires us to stop.

8. API, MCP, and webhooks
Tokens are secrets. If a token leaks, revoke it. You are responsible for applications you connect. Rate limits and scopes apply. The API must not be used to attack the service or to access another organisation’s data.
Update webhooks deliver gift events to URLs you configure. You must keep the signing secret private and use HTTPS.

9. Acceptable use
You must not:
- Break the law or these terms
- Probe, overload, or disrupt 1 NGO or other customers
- Bypass authentication, publish other people’s private data, or share credentials
- Use the service to send spam, or to scrape donors for unrelated sale of data
- Imply that Uppfy or 1 NGO endorses a campaign or guarantees a fundraising result
- Reverse engineer the service except where the law allows
- Use the WordPress plugin or API to load malware or hidden code onto visitors’ browsers beyond the documented 1 NGO pages
We may remove content or suspend publishing that we reasonably believe violates this section.
10. Service level
We aim to keep 1 NGO available but do not guarantee uninterrupted access. Planned maintenance, Paystack or DNS outages, and events beyond our control can affect checkout or publishing. Keep your own records of gifts as your finance process requires.
11. Fees
Platform subscription fees are as shown in 1 NGO billing at the time you subscribe. Donor-side Paystack fees are Paystack’s. We may change platform prices with notice to owners; continued use after the notice period is acceptance of the new price for later billing cycles.
12. Suspension and closure
You may stop using 1 NGO and ask us to close the organisation workspace. We may suspend or close the service for non-payment, breach, legal risk, or platform security.
After closure, public pages and integrations stop. We retain records as described in the privacy policy. Export of gift history should be done from Transactions before you leave, where the product provides export.
13. Intellectual property
1 NGO, the dashboard, the plugin (except third-party WordPress and your content), and Uppfy trademarks remain ours or our licensors’. You may not copy the product, remove notices, or use “1 NGO” or Uppfy marks in a way that suggests you operate the platform.
The WordPress plugin is licensed to you under GPLv2 or later for the plugin code distributed with it. These terms still govern use of the 1 NGO service the plugin connects to.
14. Disclaimers
The service is provided as available. We do not warrant that fundraising targets will be met, that Paystack will accept every card, or that 1 NGO makes your organisation compliant with charity, tax, or data-protection law. You remain responsible for your public statements, receipts, and regulator filings.
15. Liability
To the fullest extent allowed by law, Uppfy is not liable for lost donations, chargebacks, Paystack decisions, your WordPress site, Meta/WhatsApp, DNS/registrar errors, or indirect or consequential loss.
If we are liable despite this section, our total liability for 1 NGO in a twelve-month period is limited to the platform subscription fees you paid us for 1 NGO in that period.
Nothing in these terms limits liability that cannot be limited under applicable law (for example, fraud).
16. Changes to the terms
We may update these terms. The date at the top will change. We may also notify owners in the dashboard or by email. If you do not agree, stop using 1 NGO and close the workspace. Continued use after the effective date is acceptance.
17. Governing law
These terms are governed by the laws of Kenya, without regard to conflict-of-law principles. Courts in Kenya have exclusive jurisdiction, except where mandatory consumer protections require otherwise.
Courts of that jurisdiction have exclusive venue, except that we may still seek injunctive relief where your content or a security threat requires it.
